Welcome to the AutoSalesVelocity Inc. website (“the Site,” “we,” “us,” “AutoSalesVelocity,” “website,” or “our”). AutoSalesVelocity is a California corporation. AutoSalesVelocity provides this Site and related software services as a service to its customers. Please read the following Terms of Service (“Terms”) carefully, as they govern your access to and use of the Site and all related software, analytics, applications, and services (collectively, the “Service”). By accessing or using the Site or Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Site or Service.

AutoSalesVelocity reserves the right to modify these Terms at any time. Any changes will be effective upon posting. Continued use of the Site or Service after changes are posted constitutes acceptance of the revised Terms.

Description of Service

AutoSalesVelocity provides subscription-based automotive software and analytics solutions, including new vehicle ordering tools, AI-powered vehicle scoring, inventory optimization analytics, and forecasting services for dealerships and automotive manufacturers. The Service aggregates data from multiple sources, applies proprietary methodologies and artificial intelligence models, and generates analytical outputs, forecasts, and recommendations.

All features, updates, enhancements, or new services introduced by AutoSalesVelocity shall be subject to these Terms unless otherwise stated in a separate written agreement.

Eligibility & Authorized Use

The Service is intended solely for use by authorized automotive dealerships, manufacturers, and their authorized personnel.

• You must be at least 18 years old and capable of forming a binding contract.
• If registering on behalf of a dealership, manufacturer, or other entity, you represent and warrant that you are an authorized employee or agent with authority to bind that entity to these Terms.
• You may only create an account for a dealership or organization for which you have explicit authorization.

Dealer Verification & Anti-Impersonation Policy

You expressly agree that:

• You will not create an account on behalf of any dealership or organization without that entity’s express consent.
• You will not impersonate, misrepresent, or falsely claim affiliation with any dealership, manufacturer, or automotive entity.
• You will not attempt to access data relating to any dealership for which you are not authorized.

AutoSalesVelocity reserves the right to verify dealership authorization at any time and may suspend, restrict, or terminate access pending verification. Unauthorized registration, impersonation, or misuse may result in immediate termination and potential legal action.

Subscriptions & Payment

Access to the Service requires a paid subscription unless otherwise agreed in writing.

• Fees are billed in advance and are non-refundable except as required by law.
• Subscriptions automatically renew unless canceled prior to renewal.
• AutoSalesVelocity may change pricing with notice prior to renewal.
• Failure to pay may result in suspension or termination.

User Data & Privacy

The Service involves collection, processing, aggregation, and analysis of dealership, manufacturer, and market data. You represent that you have all rights and permissions necessary to provide any data submitted to the Service.

AutoSalesVelocity may use submitted and derived data in anonymized and aggregated form to improve products, develop models, conduct analytics, and create industry benchmarks.

AutoSalesVelocity processes personal information in accordance with applicable law, including the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), where applicable. For more information, please review our Privacy Policy.

AI & Analytics Disclaimer

The Service includes AI-driven scoring, forecasting, and analytical outputs. These outputs are predictive in nature and based on available data and modeling assumptions.

AutoSalesVelocity does not guarantee the accuracy, completeness, reliability, or business outcome of any score, forecast, or recommendation. All analytics are provided for informational purposes only. You are solely responsible for business decisions made using the Service.

Usage Restrictions

You may not:

• Reverse engineer, decompile, scrape, or extract data from the Service.
• Use automated tools to access the platform without authorization.
• Upload unlawful, infringing, or harmful content.
• Use the Service for competitive analysis or to develop competing products.

Intellectual Property

All software, algorithms, models, content, and materials provided through the Service are owned by AutoSalesVelocity or its licensors. No ownership rights are transferred. You are granted a limited, non-exclusive, non-transferable license to use the Service for internal business purposes only.

Service Availability

The Service is provided “as available.” AutoSalesVelocity does not guarantee uptime and does not provide service-level agreements unless separately agreed in writing. Maintenance or interruptions may occur.

Indemnification

You agree to indemnify and hold harmless AutoSalesVelocity and its officers, employees, and affiliates from any claims arising out of your misuse of the Service, violation of these Terms, or unauthorized data submission.

Disclaimer of Warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” AutoSalesVelocity DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AutoSalesVelocity SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. AutoSalesVelocity’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

You agree that any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in such courts.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
